VIRGINIA MASON HEALTH SYSTEM (THE HEALTH SYSTEM) AND COMMONSPIRIT HEALTH ARE THE SOLE CORPORATE MEMBERS OF VIRGINIA MASON FRANCISCAN HEALTH (VMFH). VMFH IS THE SOLE VOTING MEMBER OF THE VIRGINIA MASON MEDICAL CENTER (THE "MEDICAL CENTER"), AN INTEGRATED HEALTH CARE DELIVERY SYSTEM QUALIFIED UNDER SECTION 501(C)(3) OF THE CODE. THE PURPOSE OF THE HEALTH SYSTEM IS TO ADVANCE AND SUPPORT THE HEALTH CARE MISSION OF THE MEDICAL CENTER. THE HEALTH SYSTEM ACHIEVES THIS PURPOSE THROUGH GOVERNANCE OVERSIGHT. THE MEDICAL CENTER IS A TERTIARY REGIONAL REFERRAL CENTER WHICH SERVES A PATIENT COMMUNITY THAT INCLUDES SEATTLE AND ITS SURROUNDING SUBURBS, WESTERN WASHINGTON AND ALASKA. THE MAIN CAMPUS LOCATED IN SEATTLE INCLUDES A HOSPITAL, AN OUTPATIENT CLINIC, AND CENTERS FOR EXCELLENCE. THE MEDICAL CENTER ALSO OPERATES SEVEN REGIONAL CLINICS, AND BAILEY-BOUSHAY HOUSE, A 35-BED SKILLED NURSING FACILITY.VMFH IS THE SOLE VOTING MEMBER OF THE BENAROYA RESEARCH INSTITUTE AT VIRGINIA MASON ("BRI"), A SCIENTIFIC RESEARCH INSTITUTE QUALIFIED UNDER SECTION 501(C)(3) OF THE CODE. THE PURPOSE OF THE HEALTH SYSTEM IS TO ADVANCE AND SUPPORT BRI'S RESEARCH MISSION. THE HEALTH SYSTEM ACHIEVES THIS PURPOSE THROUGH GOVERNANCE OVERSIGHT. BRI IS ONE OF THE FEW RESEARCH INSTITUTES IN THE WORLD DEDICATED TO FINDING CAUSES AND CURES TO ELIMINATE AUTOIMMUNE DISEASES INCLUDING TYPE I DIABETES, RHEUMATOID ARTHRITIS, LUPUS, MULTIPLE SCLEROSIS, SCLERODERMA AND MANY OTHERS.
