(FOUNDATION) IS A GEORGIA NONPROFIT CORPORATION ORGANIZED AND OPERATED EXCLUSIVELY FOR THE PROMOTION OF SOCIAL WELFARE WITHIN THE MEANING OF SECTION 50L(C)(4) OF THE INTERNAL REVENUE CODE OF 1986, AS AMENDED (THE CODE) AND CONSISTENT WITH THE CHARITABLE PURPOSES OF CODE SECTION 501(C)(3), OR THE CORRESPONDING PROVISIONS OF ANY FUTURE FEDERAL TAX CODE. THE FOUNDATION RECEIVED SUBSTANTIALLY ALL OF THE NET SALES PROCEEDS FROM THE SALE OF THE ASSETS OF MEADOWS REGIONAL MEDICAL CENTER, INC.
