THE PRIMARY PURPOSE OF RIDGEVIEW INSTITUTE, INC. WAS TO PROVIDE MENTAL HEALTH AND ADDICTION TREATMENT SERVICES. EFFECTIVE JANUARY 5, 2017, RIDGEVIEW INSTITUTE, INC. EXECUTED AN ASSET PURCHASE AGREEMENT WITH US HEALTHVEST, LLC WHICH INCLUDED THE SALE OF CERTAIN ASSETS RELATED TO THE HOSPITAL BUSINESS, AS WELL AS ALL RIGHTS TO THE OPERATION OF THE HOSPITAL BUSINESS. THIS AGREEMENT REPRESENTED A DISCONTINUATION OF HOSPITAL OPERATIONS FOR RIDGEVIEW INSTITUTE, INC. HOWEVER, TWO MILLION OF THE PROCEEDS FROM THE SALE WAS HELD BACK IN AN ESCROW, WHICH HAS NOT BEEN ENTIRELY LIQUIDATED. RIDGEVIEW INSTITUTE, INC. CONTINUED TO RECEIVE PAYMENTS ON RECEIVABLES FROM PRIOR OPERATIONS AND MUST REMAIN IN EXISTENCE UNTIL THE ESCROW IS LIQUIDATED, IT SETTLES ITS LEGAL AFFAIRS, AND DISPOSES OF ITS REMAINING ASSETS.
