THE NEW MIAMI LIGHTHOUSE LEARNING CENTER, INC., A FLORIDA NOT FOR PROFIT CORPORATION (THE "CORPORATION"), HAS BEEN ORGANIZED FOR THE BENEFIT OF MIAMI LIGHTHOUSE FOR THE BLIND AND VISUALLY IMPAIRED, INC., A FLORIDA NOT FOR PROFIT CORPORATION ("MLB"). THE CORPORATION INTENDS TO BE A SUPPORTING ORGANIZATION TO MLB UNDER SECTION 509(A)(3) OF THE INTERNAL REVENUE CODE OF 1986, AS AMENDED (THE "CODE"). IT IS OPERATED, SUPERVISED AND CONTROLLED BY MLB. THE CORPORATION'S OPERATIONS ARE EXCLUSIVELY FOR THE BENEFIT OF, TO PERFORM THE FUNCTIONS OF, TO SUPPORT, AND TO CARRY OUT THE PURPOSES OF MLB, PROVIDED THAT MLB CONTINUES TO BE AN ORGANIZATION DESCRIBED IN SECTION 501(C)(3) AND SECTION 170(B)(1)(A) OF THE INTERNAL REVENUE CODE AT THE TIME OF ANY GIVEN DISTRIBUTION TO OR ON BEHALF THEREOF. THROUGH EDUCATION, TRAINING, RESEARCH AND VISION ENHANCEMENT, MLB IS A CENTER FOR LEARNING THAT PROVIDES HOPE, CONFIDENCE, AND INDEPENDENCE FOR PEOPLE OF ALL AGES, TRANSFORMING THE LIVES OF OVER 90,000 BLIND AND VISUALLY IMPAIRED PEOPLE ANNUALLY, FROM BABIES TO SENIORS AND THEIR FAMILIES. MLB WORKS WITH PEOPLE TO HELP BUILD THEIR SKILL SETS AND ABILITIES, STRENGTHEN THEIR CONNECTIONS TO OTHERS, AND FOSTER THEIR ENJOYMENT OF LIFE. IN ADDITION, STUDENTS LEARN IMPORTANT LIFE SKILLS, LIKE HOME AND PERSONAL MANAGEMENT, ASSISTIVE TECHNOLOGY, JOB READINESS, ORIENTATION AND MOBILITY, SOCIAL SKILLS AND COMMUNITY INTEGRATION. TO FURTHER SUPPORT THE IMPORTANT AND IMPACTFUL MISSION OF MLB AND WITHIN THE ABOVE RESTRICTIONS, THE CORPORATION ACCEPTED A CONTRIBUTION BY MLB OF CERTAIN REAL PROPERTY LOCATED IN MIAMI, FLORIDA, UPON WHICH IT INTENDS TO RENOVATE AND EXPAND THE EXISTING MLB LEARNING FACILITY (THE "PROPERTY").
