("CENTURY"), A TEXAS NONPROFIT CORPORATION, IS ORGANIZED AND OPERATED EXCLUSIVELY FOR CHARITABLE, RELIGIOUS, SCIENTIFIC, AND EDUCATIONAL PURPOSES, WITHIN THE MEANING OF SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE OF 1986. BAYLOR SCOTT & WHITE HEALTH FORMED CENTURY AS A WHOLLY OWNED, TAX-EXEMPT AFFILIATE TO PROVIDE PHYSICIAN COVERAGE AND PHYSICIAN SERVICES FOR CERTAIN AFFILIATED HOSPITAL EMERGENCY ROOMS, IN ORDER TO IMPROVE THE QUALITY OF CARE AND COST OF PHYSICIAN SERVICES TO ITS PATIENTS, INCLUDING INDIGENT PATIENTS. PREVIOUSLY, PHYSICIAN COVERAGE WAS PROVIDED BY VARIOUS INDEPENDENT PHYSICIAN GROUPS, MANY OF WHICH DID NOT FOLLOW BAYLOR SCOTT & WHITE HEALTH'S FINANCIAL ASSISTANCE POLICY AND WERE NOT PART OF THE BAYLOR SCOTT & WHITE HEALTH'S MANAGED CARE PLANS. AS A RESULT, BOTH INDIGENT PATIENTS AND INSURED PATIENTS OFTEN WERE CHARGED HIGHER FEES FOR PHYSICIAN SERVICES FOR EMERGENCY ROOM VISITS. IN ADDITION, BECAUSE DIFFERENT INDEPENDENT PHYSICIAN GROUPS PROVIDED THE EMERGENCY ROOM COVERAGE IN VARIOUS BAYLOR SCOTT & WHITE HEALTH HOSPITALS, THERE WAS NOT THE SAME OVERALL STRATEGIC PLANNING, BEST PRACTICES, AND CLINICAL CONSISTENCY THAT COULD BE ACHIEVED THROUGH A SINGLE NONPROFIT, TAX-EXEMPT AFFILIATE TO PROVIDE PHYSICIAN SERVICES. DURING THE FISCAL YEAR CENTURY PROVIDED FREE OR DISCOUNTED CARE WITH AN ESTIMATED UNREIMBURSED COST OF APPROXIMATELY $10.4 MILLION TO INDIGENT PATIENTS QUALIFYING UNDER THE FINANCIAL ASSISTANCE POLICY. AS PART OF THE BAYLOR SCOTT & WHITE HEALTH SYSTEM, CENTURY FURTHERS THE CHARITABLE MISSION OF BAYLOR SCOTT & WHITE HEALTH THROUGH THE PROMOTION OF HEALTH IN THE COMMUNITY. FOUNDED AS A CHRISTIAN MINISTRY OF HEALING, BAYLOR SCOTT & WHITE HEALTH PROMOTES THE WELL-BEING OF ALL INDIVIDUALS, FAMILIES AND COMMUNITIES. SERVING COMMUNITIES IN 45 COUNTIES ACROSS NORTH AND CENTRAL TEXAS, BAYLOR SCOTT & WHITE HEALTH HAS THE VISION AND RESOURCES TO PROVIDE ITS PATIENTS CONTINUED QUALITY CARE, WHILE CREATING A MODEL SYSTEM FOR A DRAMATICALLY CHANGING HEALTH CARE ENVIRONMENT. BAYLOR SCOTT & WHITE HEALTH PROVIDES FULL RANGE INPATIENT, OUTPATIENT, REHABILITATION AND EMERGENCY MEDICAL SERVICES THROUGH 51 HOSPITALS, 590 SPECIALTY CARE CLINICS, 254 OUTPATIENT CLINICS, 158 PRIMARY CARE CLINICS, 32 PHARMACIES, 30 AMBULATORY SURGERY CENTERS, AND APPROXIMATELY 7,000 ACTIVE PHYSICIANS. THE SYSTEM ALSO INCLUDES A STATE CERTIFIED HEALTH MAINTENANCE ORGANIZATION, THE SCOTT AND WHITE HEALTH PLAN AND THE BAYLOR SCOTT & WHITE QUALITY ALLIANCE ACCOUNTABLE CARE ORGANIZATION BOTH COVERING OVER 1,000,000 LIVES. ANNUALLY, THERE ARE MORE THAN 8.4 MILLION PATIENT ENCOUNTERS AND MORE THAN 900,000 EMERGENCY DEPARTMENT VISITS AT BAYLOR SCOTT & WHITE HEALTH FACILITIES. ALL OF THE FACILITIES FOCUS ON IMPROVING QUALITY OF CARE, IMPROVING PATIENT ACCESS TO HEALTH CARE, MANAGING THE HEALTH OF PATIENT POPULATIONS, AND REDUCING THE OVERALL COST OF CARE. DURING THE FISCAL YEAR, BAYLOR SCOTT & WHITE HEALTH PROVIDED $997MILLION IN COMMUNITY BENEFITS, INCLUDING $570 MILLION IN UNREIMBURSED COST OF CHARITY CARE TO RESIDENTS OF THE COMMUNITIES IT SERVES.
