(THE "FOUNDATION") WAS ORGANIZED IN NOVEMBER 2011 AS A NON-PROFIT CORPORATION UNDER THE LAWS OF THE STATE OF FLORIDA, FOR THE PURPOSE OF RAISING FUNDS AND ADMINISTERING SUCH FUNDS FOR THE BENEFIT OF BIG BROTHERS BIG SISTERS OF MIAMI, INC., (THE "AGENCY"), A 501(C)(3) NON-PROFIT ORGANIZATION. IN FISCAL YEAR 2019 THE FOUNDATION CEASED RAISING FUNDS ON BEHALF OF THE AGENCY AND IS COLLECTING OUTSTANDING PLEDGES AND ADMINISTERING COLLECTED FUNDS FOR THE BENEFIT OF THE AGENCY.
