BEVERLY HILLS BAR ASSOCIATION WAS FORMED IN 1931 AND INCORPORATED PURSUANT TO THE GENERAL NONPROFIT CORPORATION LAWS OF THE STATE OF CALIFORNIA IN 1972. ON OCTOBER 1, 1986, THE PERSONNEL REFERRAL SERVICE FUND, WHICH HAD BEEN A PROGRAM OF THE BEVERLY HILLS BAR ASSOCIATION, WAS INCORPORATED AS A NONPROFIT MUTUAL BENEFIT CORPORATION UNDER THE NONPROFIT MUTUAL BENEFIT CORPORATION LAW AS THE BEVERLY HILLS BAR ASSOCIATION PERSONNEL REFERRAL SERVICE, INC. THE SOLE SHAREHOLDER OF THE CORPORATION IS THE BEVERLY HILLS BAR ASSOCIATION. BEVERLY HILLS BAR ASSOCIATION PERSONNEL REFERRAL SERVICE, INC. IS NOT REQUIRED TO ISSUE MEMBERSHIP CERTIFICATES PURSUANT TO SECTION 7313 OF THE CALIFORNIA CORPORATION CODE.
