THE CORPORATION IS ORGANIZED FOR THE PURPOSE OF PROMOTING THE COMMON INTERESTS OF ITS MEMBERS; TO PROVIDE RESEARCH, STUDY, EXAMINATION, AND GUIDANCE TO THE BMW NATIONAL DEALER FORUM (THE FORUM); TO AID THE FORUM IN ITS CONSULTATION WITH THE MANAGEMENT OF BMW OF NORTH AMERICA, LLC (BMW NA) ON ISSUES AFFECTING DEALER OPERATIONS AND TO REVIEW AND DISCUSS PROPOSED REQUIREMENTS AND PROCESSES AFFECTING THE DEALER NETWORK; TO PROMOTE AND IMPROVE THE FORUMS REPRESENTATION, INTERACTION, AND RELATIONSHIP WITH BMW NA; TO TAKE ALL OTHER APPROPRIATE ACTION IN FURTHERANCE OF SUCH PURPOSES; AND CONSISTENT WITH THE ABOVE, TO EXERCISE ALL POWERS AVAILABLE TO NONSTOCK CORPORATIONS ORGANIZED PURSUANT TO THE DGCL.
