DUE TO THE INCREASED COSTS AND REDUCED REVENUE, AND IN ORDER TO FURTHER THE LONG-TERM GOALS OF MIDMICHIGAN HEALTH AND BAY REGIONAL MEDICAL CENTER AND TO FURTHER THE INTERESTS OF THE COMMUNITY SERVED, AS OF FEBRUARY 1, 2012, SUBSTANTIALLY ALL OF THE ASSETS OF THE ORGANIZATION WERE SOLD AND THE OPERATIONS DISCONTINUED. IMMATERIAL CONTINUING CASH FLOWS OCCURRED UNTIL THE REMAINING ASSETS WERE SOLD.
