THE ORGANIZATION OPERATED A RESIDENTIAL PROGRAM FOR GIRLS UNTIL 2001. ITS SOLE ASSET IS THE PROPERTY ON WHICH THE SCHOOL OPERATED. SUBSEQUENT TO THE DISCONTINUATION OF THE RESIDENTIAL PROGRAM, THE ORGANIZATION HAS BEEN IN THE PROCESS OF MARKETING THE PROPERTY FOR SALE. IN FEBRUARY 2019, SLEIGHTON ENTERED INTO AN AGREEMENT OF SALE WITH MIDDLETOWN TOWNSHIP (THE "TOWNSHIP") PURSUANT TO WHICH THE TOWNSHIP AGREED TO PURCHASE APPROXIMATELY 80 ACRES OF THE SLEIGHTON PROPERTY FOR A GROSS PURCHASE PRICE OF $7,525,000. THE TOWNSHIP'S OBLIGATION TO PURCHASE THE PROPERTY WAS CONDITIONED UPON A SUCCESSFUL OPEN SPACE REFERENDUM WHICH PASSED IN MAY 2019. AS PART OF ITS DUE DILIGENCE REVIEW, THE TOWNSHIP IDENTIFIED CERTAIN ENVIRONMENTAL ISSUES ON THE PROPERTY THAT REQUIRED REMEDIATION. THE PARTIES NEGOTIATED THE TERMS OF THE ENVIRONMENTAL REMEDIATION PLAN, WHICH WERE PARTIALLY FUNDED BY ELWYN PA AND REIMBURSED BY THE SALE PROCEEDS. THE TRANSACTION WAS COMPLETED IN NOVEMBER 2020.
