SUBJECT TO THE STATUTE OF LIMITATIONS OF LEGAL ACTIVITY, THE BOARD OF DIRECTORS PAID FOR FOUR YEARS OF WRAP UP SERVICES AND AMORTIZED THE AMOUNT OVER A 48 MONTH PERIOD, REPORTED AS THE QUEST MANAGEMENT FEES.
