PRIOR TO OCTOBER 1, 2011, PMH LEGACY, (FKA PERSON MEMORIAL HOSPITAL, INC) OWNED AND OPERATED A NOT-FOR-PROFIT ACUTE CARE HOSPITAL AND SKILLED NURSING FACILITY. THE HOSPITAL PROVIDED INPATIENT, OUTPATIENT AND EMERGENCY CARE SERVICES FOR RESIDENTS OF PERSON AND SURROUNDING COUNTIES. ON SEPTEMBER 30, 2011, PMH LEGACY ENTERED INTO AN ASSET PURCHASE AGREEMENT WITH DLP PERSON MEMORIAL HOSPTAL, LLC, A SUSIDIARY OF DLP HEALTHCARE, LLC. THE EFFECTIVE DATE OF THE AGREEMENT WAS OCTOBER 1, 2011. THE PARAMETERS OF THAT AGREEMENT WERE PREVIOUSLY DISCLOSED IN THE FORM 990 FOR THE YEAR ENDED SEPTEMBER 30, 2012.
