IN PRIOR YEARS, HOLY FAMILY SURGERY CENTER FOUNDATION (HFSCF) CONDUCTED MEDICAL MISSION TRIPS AND PROVIDED HIGH QUALITY SURGICAL SOLUTIONS TO HONDURAN CITIZENS. HFSCF ALSO PARTNERED WITH SCA MEDICAL MISSIONS (NOW ONE WORLD SURGERY)THAT COORDINATED THE VOLUNTEER TRIPS TO HONDURAS. DURING 2017, THE BOARDS OF DIRECTORS OF HFSCF AND SCA MEDICAL MISSIONS DETERMINED THAT IT WAS IN THE BEST INTEREST OF BOTH ORGANIZATIONS TO COMBINE THEIR OPERATIONS. EFFECTIVE JANUARY 1, 2017, HFSCF TRANSFERRED ALL OF ITS ASSETS, LIABILITIES, AND ITS OPERATIONS TO SCA MEDICAL MISSIONS (NOW ONE WORLD SURGERY). CONSIDERATION FOR THE TRANSFER WAS THE ASSUMPTION OF HFSC LIABILITIES BY SCA MEDICAL MISSIONS. HFSCF HAD NO FURTHER ACTIVITIES DURING 2017 AND THE CORPORATION REMAINED DORMANT THROUGH 2021. ON DECEMBER 29, 2021, THE BOARD OF DIRECTORS VOTED TO FORMALLY DISSOLVE HFSCF AND SUBMITTED ARTICLES OF DISSOLUTION WITH THE STATE OF MINNESOTA AS PART OF THE COMPLETE TERMINATION OF THE ENTITY.
