FUTURE STARS, INC. (THE "CHARITY") HAS BEEN FORMED TO OPERATE AS A PUBLIC CHARITY WITHIN THE MEANING OF SECTION 509(A)(2) OF THE INTERNAL REVENUE CODE OF 1986, AS AMENDED (THE "CODE"). STATED IN THE MOST DIRECT TERMS, THE CHARITY WAS FORMED TO DEVELOP, PROMOTE, DIRECT AND FOSTER BASEBALL AND SOFTBALL AMONG BOYS AND GIRLS BETWEEN THE AGES OF 7 AND 17 YEARS TO PROVIDE INSTRUCTION AND SPORTSMANLIKE COMPETITION. BY WAY OF FURTHER EXPLANATION, THE CHARITY WILL PROVIDE YOUTH ATHLETES AN OPPORTUNITY TO HAVE ACCESS TO A FULL PLATFORM OF TRAINING, EDUCATION, TESTING SYSTEMS AND ANALYTICS, TRAVEL PROGRAMS, SHOWCASE EVENTS, FUNDING, FITNESS AND SKILL TRAINING, AND MARKETING TO OBTAIN SCHOLARSHIPS TO HIGHER EDUCATION THROUGH SPORTS (SPECIFICALLY SOFTBALL AND BASEBALL).
