THE ORGANIZATION WAS FORMED AS A HEALTH MAINTENANCE ORGANIZATION SERVING EXCLUSIVELY A POOR AND INDIGENT POPULATION UNDER THE STATE SPONSORED MEDICAID PROGRAM PROVIDING COMPREHENSIVE MEDICAL SERVICES AND INSURANCE. EFFECTIVE OCTOBER 1, 2021 THE ORGANIZATION'S MEMBERSHIP AND MEDICAID CONTRACT WERE TRANSFERRED TO PRIORITY HEALTH CHOICE, INC. (A RELATED TAX-EXEMPT ORGANIZATION). ALL REMAINING ACTIVITY IS OPERATING ON A RUN-OUT BASIS, WITH NO NEW MEMBERSHIP AGREEMENTS BEING WRITTEN. TOTAL HEALTH CARE, INC. WILL RETAIN ADEQUATE CASH AND INVESTMENTS TO MANAGE THE RUN-OUT OF ITS MEDICAID BUSINESS UNTIL FINAL DISSOLUTION IS APPROVED BY THE MICHIGAN DEPARTMENT OF INSURANCE AND FINANCIAL SERVICES. TOTAL HEALTH CARE, INC. HAS RETAINED ITS HMO LICENSE.
