ON FEBRUARY 2, 2016, THE CIRCUIT COURT OF THE NINETEENTH JUDICIAL CIRCUIT, IN AND FOR ST. LUCIE COUNTY, FLORIDA ENTERED THE ORDER APPOINTING MICHAEL E. IMBER AS RECEIVER FOR VACCINE AND GENE THERAPY INSTITUTE FLORIDA CORPORATION (VGTI). ON MARCH 31, 2017, VGTI (ACTING THROUGH THE RECEIVER), THE CITY OF PORT SAINT LUCIE, FLORIDA (THE "CITY"), AND UMB BANK, NATIONAL ASSOCIATION, AS INDENTURE TRUSTEE ENTERED INTO A TRANSFER AGREEMENT PURSUANT TO WHICH VGTI AGREED TO TRANSFER ITS ASSETS TO THE CITY SUBJECT TO CERTAIN TERMS AND CONDITIONS.
