TO PERFORM AND ASSIST IN FULFILLING THE PURPOSE OF THE MINNESOTA VALLEY NATIONAL WILDLIFE REFUGE TRUST, INC.

MINNESOTA VALLEY LANDS, INC. (LANDS) IS A SUBSIDIARY OF THE MINNESOTA VALLEYNATIONAL WILDLIFE REFUGE TRUST, INC (TRUST). AFTER ACQUISITION BY THE TRUST, ALL LANDS ARE DEEDED TO LANDS FOR RESTORATION OF WETLANDS, UPLANDS/GRASSLANDS/PRAIRIE AND FLOODPLAIN FOREST, AS WELL AS CONSTRUCTION OF PUBLIC USE FACILITIES. THE LANDS ARE DONATED TO THE USFWS AFTER RESTORATION IS COMPLETE FOR THE MINNESOTA VALLEY NATIONAL WILDLIFE REFUGE (MVNWR). DURING THE 2020 FISCAL YEAR, LANDS: RECEIVED FROM TRUST THE TRANSFER OF ONE PARCEL OF LAND THAT HAD BEEN ACQUIRED BY TRUST. THE PROPERTY IS 87 ACRES IN CARVER COUNTY FOR THE SAN FRANCISCO UNIT OF THE MVNWR. MANAGED HABITAT RESTORATION AND ENHANCEMENT WORK AT SEVERAL PROPERTIES ACQUIRED BY THE TRUST IN RECENT YEARS. LEASED TWO AGRICULTURAL FIELDS IN BLUE EARTH COUNTY WHILE PLANNING FOR HABITAT RESTORATION CONTINUED. LEASED THE BUILDINGS AND AGRICULTURAL FIELD TO THE SELLERS OF PROPERTY ACQUIRED BY TRUST IN 2020 IN CARVER COUNTY, THEN INITIATED DECONSTRUCTION AND DEMOLITION OF THE BUILDINGS WHEN THE TENANTS MOVED IN FALL 2020 AT THE END OF THE LEASE. IN DECEMBER 2020, LANDS TRANSFERRED TITLE TO ALL REAL ASSETS OWNED BY LANDS TO MINNESOTA VALLEY LANDS LLC, A NEWLY CREATED SINGLE-MEMBER MINNESOTA LIMITED LIABILITY COMPANY CREATED BY THE TRUST. THIS INCLUDED 43 PARCELS OF LAND AND ONE BRIDGE. LANDS ALSO TRANSFERRED THE BALANCE REMAINING IN ITS CHECKING ACCOUNT TO TRUST. THESE ACTIONS WERE TAKEN IN PREPARATION FOR THE DISSOLUTION OF LANDS IN 2021.
