PROJECT FUND ASSOCIATION (THE "ASSOCIATION") IS A NONPROFIT ASSOCIATION ORGANIZED EXCLUSIVELY FOR CHARITABLE AND EDUCATIONAL PURPOSES, MAKING DISTRIBUTIONS TO INDIVIDUALS OR ORGANIZATIONS THAT QUALIFY AS EXEMPT ENTITIES UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE OF 1986, AS AMENDED, OR THE CORRESPONDING PROVISION OF ANY FUTURE UNITED STATES FEDERAL INCOME TAX LAW (THE "CODE").
