THE EMERGE CENTER HOLDING COMPANY, INC'S SOLE ACTIVITY IS TO SERVE AS A REAL ESTATE TITLE HOLDING COMPANY FOR THE BENEFIT OF ITS SOLE OWNER, THE BATON ROUGE SPEECH AND HEARING FOUNDATION, INC, A TAX EXEMPT ENTITY UNDER SECTION 501C3 OF THE CODE, TO ENTER INTO LEASES AND COLLECT RENTS, AND MAKE ALL DISTRIBUTIONS REQUIRED BY SECTION 501C2 OF THE CODE.

THE HOLDING COMPANY HAS BEEN ASSIGNED BY BATON ROUGE SPEECH AND HEARING FOUNDATION, ALL RIGHTS, TITLES, AND INTEREST IN A GROUND LEASE AND CONSTRUCTION AGREEMENT. THE HOLDING COMPANY CONSTRUCTED AND EQUIPPED A NEW FACILITY LOCATED ON THE PROPERTY TO PROVIDE INTEGRATED AUTISM SERVICES, COMMUNICATION THERAPY SERVICES, AND AUDIOLOGY SERVICES TO THE PROPERTY. THE HOLDING COMPANY SUBLEASES THE FACILITY TO THE FOUNDATION SO THAT IT MAY CARRY OUT ITS EXEMPT PURPOSE.
