(THE "FOUNDATION"), IS A NOT-FOR-PROFIT CHARITABLE ORGANIZATION WHOSE PRIMARY PURPOSE IS TO RAISE PHILANTHROPIC FUNDS TO SUPPORT WINTER HAVEN HOSPITAL, INC.'S (THE "HOSPITAL") HEALTHCARE MISSION.
